1. AGREEMENT TO THESE TERMS
These Terms of Service ("Terms") are a binding agreement between you and Hyonic LLC ("Hyonic," "we," "us," or "our") governing your access to and use of hyonic.com and any related websites, content, and services (the "Site") and your purchase of any products from us. By accessing the Site, creating an account, or placing an order, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.
2. WHO WE ARE
Hyonic LLC is a North Carolina limited liability company with its principal address at 3801 E Independence Blvd, STE 101, Charlotte, NC 28205. You can reach us at support@hyonic.com.
3. CHANGES TO THESE TERMS
We may update these Terms at any time. Changes take effect when we post the updated Terms and revise the "Last updated" date. Your continued use of the Site or placement of an order after changes are posted means you accept the revised Terms. If you do not agree to a change, stop using the Site.
4. ELIGIBILITY
The Site is intended for users who are at least 18 years old and located in the United States. By using the Site or ordering, you represent that you are at least 18, can form a legally binding contract, and will provide accurate and complete information.
5. ACCOUNTS
If you create an account, you are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
6. OUR PRODUCTS, DIETARY SUPPLEMENTS; HEALTH DISCLAIMER
Hyonic products are dietary supplements (powdered hydration drink mixes). These statements have not been evaluated by the Food and Drug Administration (FDA). Our products are not intended to diagnose, treat, cure, or prevent any disease. Content on the Site, including descriptions, blog posts, and testimonials, is provided for general informational and wellness purposes only and is not medical advice. Results vary from person to person. You should consult a licensed healthcare provider before using our products, particularly if you are pregnant or nursing, under 18, taking medication, or have a medical condition. By purchasing, you accept full responsibility for your use of the products and agree to read the label and follow directions.
7. PRODUCT DESCRIPTIONS & ACCURACY
We try to display our products, ingredients, and pricing accurately, but we do not warrant that descriptions, images, colors, or other content are complete, current, or error-free. Packaging and formulation may change; the information on the product label you receive controls.
8. ORDERS & ORDER ACCEPTANCE
Your order is an offer to buy. All orders are subject to our acceptance and to product availability. We may accept or decline an order, limit or cancel quantities (including multiple orders that appear to be placed by the same customer), and refuse or cancel any order for any reason, including suspected fraud or a pricing or description error, even after you receive an order confirmation. If we cancel an order after you have been charged, we will issue a refund to your original payment method.
9. PRICING, ERRORS & TAXES
Prices are shown in U.S. dollars and may change at any time before you place an order. In the event of an obvious pricing error, we reserve the right to cancel the order and refund any amount charged. Applicable sales tax is calculated and added at checkout based on your shipping address and the taxability of the products in that jurisdiction.
10. PROMOTIONS, DISCOUNT CODES & REFERRALS
Promotions, discount codes, and referral offers are subject to their stated terms, may be limited in time or quantity, cannot be combined unless we say so, have no cash value, and may be modified or canceled by us. Codes obtained through unauthorized channels or used in a manner we consider abusive may be voided.
11. SUBSCRIPTIONS & AUTO-RENEWAL
If you enroll in a subscription ("subscribe and save" or similar), you authorize us to charge your payment method on a recurring basis at the then-current price and interval until you cancel. We will disclose the price, frequency, and cancellation method at sign-up and, where required, send a reminder before renewal. You may pause, skip, or cancel at any time before the applicable cutoff by managing your account or emailing support@hyonic.com. Cancellation stops future charges; it does not refund charges already processed unless required by law.
12. PAYMENT
Payments are processed by our third-party payment processor, Stripe. By submitting payment information, you represent that you are authorized to use the payment method and you authorize us, through Stripe, to charge it for the total order amount, including taxes, shipping, and any recurring charges you have agreed to. We do not store full payment card numbers on our servers. Your use of Stripe is subject to Stripe's terms and privacy policy.
13. SHIPPING, TITLE & RISK OF LOSS
We ship to addresses within the United States. Shipping methods, estimated timeframes, and costs are shown at checkout; delivery estimates are not guaranteed. Title and risk of loss pass to you when we deliver the products to the carrier. You are responsible for providing an accurate shipping address; we are not responsible for orders delayed or lost due to an incorrect address you provide.
14. RETURNS & REFUNDS
Returns and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms by reference.
15. TEXT MESSAGING (SMS) PROGRAM
If you opt in to our SMS program, you consent to receive recurring automated marketing and transactional text messages from or on behalf of Hyonic at the number you provide. Consent is not a condition of purchase. Message and data rates may apply. Message frequency varies. Reply STOP to unsubscribe or HELP for help. We and the mobile carriers are not liable for delayed or undelivered messages.
16. ELECTRONIC COMMUNICATIONS
By using the Site or providing your email, you consent to receive communications from us electronically (transactional emails such as order and shipping confirmations, and marketing emails about products, local events and offers). You agree that electronic communications satisfy any legal requirement that a communication be in writing. You can unsubscribe from marketing emails at any time using the link in the email; you will still receive transactional messages related to your orders.
17. USER CONTENT & REVIEWS
If you submit reviews, photos, comments, or other content ("User Content"), you grant Hyonic a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable license to use, reproduce, modify, publish, and display that content for our marketing and business purposes, in any media. You represent that you own or have the rights to the content, that it is accurate, and that it does not violate any law or third-party right. You agree not to post content that is false, misleading, unlawful, defamatory, infringing, or that makes unauthorized health claims. We may remove any User Content at our discretion.
18. FEEDBACK
If you send us ideas or suggestions about our products or Site, you agree we may use them without restriction or compensation to you.
19. INTELLECTUAL PROPERTY
The Site and all of its content, including the Hyonic name, logos, trademarks, trade dress, text, graphics, images, and software, are owned by or licensed to Hyonic and are protected by U.S. and international intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written permission.
20. PROHIBITED USES
You agree not to: (a) use the Site for any unlawful purpose or in violation of these Terms; (b) resell our products without our authorization or misrepresent yourself as an authorized retailer; (c) interfere with or disrupt the Site or its security; (d) attempt to gain unauthorized access to any systems or accounts; (e) use bots, scrapers, or automated means to access the Site or purchase products; (f) upload viruses or malicious code; or (g) infringe the rights of others.
21. THIRD-PARTY LINKS & SERVICES
The Site may contain links to third-party sites or services (including Stripe and social platforms) that we do not control. We provide them for convenience and are not responsible for their content, products, or privacy practices. Your dealings with third parties are solely between you and them.
22. DISCLAIMER OF WARRANTIES
THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HYONIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PRODUCT WILL MEET YOUR EXPECTATIONS OR ACHIEVE ANY PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
23. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, HYONIC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SITE OR PRODUCTS. HYONIC'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (SUCH AS LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR CERTAIN PRODUCT-LIABILITY CLAIMS).
24. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Hyonic and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Site, your violation of these Terms, your User Content, or your violation of any law or third-party right.
25. DISPUTE RESOLUTION
(a) Informal resolution. Before filing a claim, you agree to contact us at support@hyonic.com and attempt to resolve the dispute informally for at least 30 days.
(b) Binding arbitration & class-action waiver. Except for small-claims matters and claims for injunctive relief, any dispute arising out of these Terms or your use of the Site will be resolved by binding individual arbitration, and not in court, and you and Hyonic waive the right to a jury trial and to participate in a class or representative action.
(c) Time to file. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.
(d) Governing law & venue. These Terms are governed by the laws of the State of North Carolina without regard to conflict-of-law rules. To the extent any dispute is heard in court, it will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to their jurisdiction.
26. TERMINATION
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
27. FORCE MAJEURE
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, labor disputes, supplier or carrier failures, or governmental actions.
28. GENERAL
These Terms, together with the Privacy Policy and Return & Refund Policy, are the entire agreement between you and Hyonic regarding the Site and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
